  • Provided general counsel advice for a start-up developer of commercial solar installations.

  • Represented a solar developer in structuring and negotiating fund agreements with investors holding multiple portfolios of residential/small commercial solar assets (including BESS).

  • Advised a start-up company on corporate structuring and general corporate matters ahead of imminent equity investments, including identifying and addressing legal deficiencies in existing corporate documents.

  • Provided strategic advice on structuring a tax equity motivated purchase and sale transaction, including an LLC agreement involving investors.

  • Provided outside general counsel services to an electronic waste recycling start-up, including subsidiary formation, managing outside counsel, and negotiating general third-party contracts.

  • Amended LLC formation documents to position a company to transition to a Delaware Benefit LLC and prepared it for B-Corp certification.

  • Counseled a start-up and its investors on the differences between benefit corporation/LLC formation and B-Corp certification, and guided the company through the certification process.

  • Advised the owner of a distributed generation solar portfolio on compliance with the Equator Principles.

  • Prepared a memorandum for a sustainable materials company on compliance with national and international ESG standards and devised an ESG adoption strategy as the company scaled.

  • Advised a client on potential upcoming SEC ESG and climate change disclosure requirements to help attract ESG-focused investors.
