Clean Energy Counsel Advises BayWa r.e. on JVR Energy Park Financing
Clean Energy Counsel is pleased to have acted as primary transaction counsel to BayWa r.e. Americas on the financing of the Jacumba Valley Ranch (JVR) Energy Park, a large-scale solar and battery storage project located in southeastern San Diego County.
The JVR Energy Park includes 125 MW of solar generation and 70 MW of battery storage. Once operational, the project will supply electricity to approximately 57,000 homes through San Diego Community Power. Construction is underway following the project’s recent groundbreaking and the issuance of full notice to proceed under the construction agreement.
Financing for the project consists of a construction-to-term loan facility led by Société Générale and preferred equity investments from funds managed by Wafra Inc. and Acadia Infrastructure Capital, L.P. Total funding commitments for the project are approximately $416 million. The transaction also included a tax credit transfer agreement with a corporate buyer.
Over its lifetime, the JVR Energy Park is expected to avoid approximately 500,000 metric tons of CO₂ emissions and includes battery storage designed to support grid operations. The project is expected to create more than 350 union construction jobs and includes community-focused commitments such as local investment, a fire protection agreement with the San Diego County Fire Authority, and a biological open space easement.
The Clean Energy Counsel team was led by partner Zach Crowley and tax counsel Jonah Brotman, together with Mike Davey, Tyler Quintero, Jacob Reed, Joel Beacher, Meghan Gabriel, Brandon King, Eric Vanderhoef, James Billard, Shane Devins, Brett Martino, Shae Harvey, and Cynthia Webster.
